Terms of Service

Introduction

These Terms of Service ("Terms") govern your access to and use of ShipFoundry, including our website, application, dashboards, handoff briefs, integrations, emails, and related services.

ShipFoundry is operated by ShipFoundry ("ShipFoundry," "we," "us," or "our").

By accessing or using ShipFoundry, creating an account, starting a trial, purchasing a subscription, or connecting an integration, you agree to these Terms.

If you are using ShipFoundry on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. In that case, "you" includes both you and that organization.

If you do not agree to these Terms, do not use ShipFoundry.

1. What ShipFoundry Does

ShipFoundry helps builders keep their products improving with the stack.

ShipFoundry processes public software updates through Global Intelligence, matches relevant changes against project context and tracked stack items, and creates evidence-backed briefs for research, engineering, workflow, strategy, or bounded agent implementation.

Each project uses read-only evidence and repository-derived indexes from a repository you authorize. Optional product paths include MCP access for user-owned agents and explicit export of a generated brief to Linear. These paths do not give ShipFoundry or an agent broad authority to modify your repositories or third-party workspaces.

ShipFoundry is not a generic software news feed. It is designed to help you decide which external improvements are worth acting on, deferring, or ignoring, and what to hand your coding agent next.

2. Eligibility

You must be at least 18 years old, or the age of legal majority where you live, to use ShipFoundry.

You may not use ShipFoundry if you are barred from using the service under applicable law or if we have previously suspended or terminated your account for violation of these Terms.

3. Accounts

You must provide accurate account information and keep it up to date.

You are responsible for:

• maintaining the confidentiality of your login credentials
• all activity under your account
• the actions of users you invite or authorize
• securing connected third-party accounts, such as GitHub, Linear, Stripe, or other integrations
• promptly notifying us of suspected unauthorized access

We may suspend or restrict your account if we believe it has been compromised, used unlawfully, or used in violation of these Terms.

4. Subscriptions, Trials, and Billing

ShipFoundry is a paid product. We may offer trials, paid plans, or promotional access.

Current launch plans may include:

• Dev: 1 project watched, 10 tracked stack items
• Pro: 3 projects watched, 20 tracked stack items per project
• a 7-day card-required trial
• monthly billing

Plan names, limits, prices, features, and trial terms may change over time. The pricing page, checkout page, or order form presented at purchase will state the then-current commercial terms.

By starting a paid subscription or card-required trial, you authorize us and our payment processor to charge the applicable payment method for subscription fees, taxes, and other charges.

Unless otherwise stated:

• subscriptions renew automatically until canceled
• monthly plans bill monthly
• trials convert to paid subscriptions at the end of the trial unless canceled before the trial ends
• fees are non-refundable except where required by law or expressly stated in writing
• you are responsible for taxes, duties, and similar charges
• failed payments may result in suspension, downgrade, or termination of access

Billing is processed by Stripe or another payment processor. We do not intentionally store full payment card numbers on our own servers.

Canceling a subscription does not delete your account. If eligible, account deletion is a separate destructive action in account settings after cancellation is completed or scheduled.

5. Plan Limits and Usage

ShipFoundry may enforce limits based on your plan, including limits on:

• watched projects
• tracked stack items
• source coverage
• briefs or handoffs
• integration usage
• repo-aware investigation
• integrations
• usage frequency
• team or workspace features

We may update plan limits, introduce new limits, or adjust how limits are enforced. If we make material changes to paid plan limits during an active subscription period, we will take reasonable steps to avoid unfair disruption.

You may not attempt to bypass plan limits, usage controls, rate limits, access controls, or billing enforcement.

6. User Content and Project Context

"User Content" means information, files, text, data, code snippets, project context, stack details, repository metadata, integration data, feedback, prompts, or other materials that you submit, upload, connect, or otherwise provide to ShipFoundry.

You retain ownership of your User Content.

You grant ShipFoundry a limited, worldwide, non-exclusive, royalty-free license to host, process, transmit, display, copy, analyze, and use User Content as needed to:

• provide ShipFoundry
• generate update matches
• produce handoff briefs
• create repo evidence and implementation context
• support integrations you enable
• troubleshoot, secure, and improve the service
• enforce these Terms
• comply with law

You represent that you have the rights and permissions needed to provide User Content to ShipFoundry and to allow us to process it under these Terms.

You are responsible for reviewing User Content before submitting it, especially if it contains secrets, sensitive information, confidential code, regulated data, or third-party materials.

7. Repository Access and Integrations

Each ShipFoundry project requires read-only access to a repository selected by you. Some features may also allow metadata imports, package/config uploads, Linear issue creation, or other integrations.

If you connect an integration, you authorize ShipFoundry to access and process information from that integration within the permissions and selections you approve. GitHub evidence is read-only and limited to selected repositories. Linear issue creation occurs only when you explicitly request an export. MCP access is scoped to the approved account, project, and tool permissions.

You are responsible for:

• ensuring you have authority to connect the integration
• complying with the third-party service's terms
• selecting appropriate permissions
• disconnecting integrations you no longer want to use
• reviewing generated output before acting on it

We are not responsible for third-party services, outages, permission changes, API changes, data errors, rate limits, or integration failures.

8. AI-Generated Output and Handoff Briefs

ShipFoundry uses AI and automation to summarize public updates, match them to project context, synthesize source and repository evidence, select an appropriate brief or task packet, and generate that output.

AI-generated output may be incomplete, inaccurate, stale, overbroad, or wrong. ShipFoundry may miss important updates, mis-rank relevance, generate weak evidence, or recommend an action that is not appropriate for your product.

You are responsible for:

• reviewing all output before relying on it
• validating source information
• testing any implementation
• reviewing security, privacy, reliability, and product implications
• deciding whether to act, defer, or ignore any recommendation
• supervising any coding agent or human engineer that uses a ShipFoundry handoff

ShipFoundry does not automatically implement generated work. A Hand To Agent packet, MCP response, copied brief, or Linear export remains subject to your authorization, local repository inspection, testing, review, and deployment controls.

ShipFoundry does not guarantee that any handoff, update match, repository-derived evidence, or recommendation will be correct, complete, secure, compliant, or suitable for your product.

9. No Professional Advice

ShipFoundry does not provide legal, financial, tax, security, compliance, medical, or professional advice.

Any product, implementation, migration, security, cost, performance, or compliance discussion generated by ShipFoundry is informational and should be reviewed by qualified professionals where appropriate.

10. Acceptable Use

You may not use ShipFoundry to:

• violate any law or regulation
• infringe intellectual property, privacy, or other rights
• upload or transmit malware, exploits, or harmful code
• attack, scan, overload, disrupt, or interfere with ShipFoundry or third-party systems
• bypass authentication, authorization, usage limits, billing limits, or security controls
• access another user's account, workspace, project, or data without permission
• submit secrets, credentials, private keys, or highly sensitive data unless the feature is specifically designed for that purpose
• use outputs to build or facilitate malware, phishing, spam, credential theft, or other abusive activity
• scrape, copy, or reverse engineer the service except as permitted by law
• resell, sublicense, or provide ShipFoundry as a service bureau without our written permission
• misrepresent generated output as independently verified
• use ShipFoundry in a way that creates excessive load, abusive usage, or security risk
• use the service for prohibited, regulated, or high-risk activities where failure could cause death, personal injury, severe property damage, or critical infrastructure harm

We may investigate suspected violations and suspend or terminate access where appropriate.

11. ShipFoundry Intellectual Property

ShipFoundry and its related software, design, workflows, source intelligence, ranking logic, prompts, product experience, documentation, trademarks, branding, and other materials are owned by us or our licensors.

These Terms do not transfer ownership of ShipFoundry to you.

Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable, revocable right to use ShipFoundry for your internal business or personal product-building purposes.

You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from ShipFoundry except as allowed by these Terms or with our written permission.

12. Output Ownership and Use

As between you and ShipFoundry, you may use handoff briefs, exported markdown, generated implementation context, and similar outputs created for your workspace for your own product development, subject to these Terms.

This does not give you ownership of ShipFoundry's underlying software, product design, models, prompts, source intelligence systems, ranking systems, or other platform technology.

Similar or identical outputs may be generated for other users because many users may track the same public stack updates, frameworks, platforms, releases, or tools.

13. Feedback

If you provide feedback, suggestions, ideas, feature requests, or bug reports, you grant us the right to use them without restriction or compensation.

We may use feedback to improve ShipFoundry, create new features, refine source coverage, update prompts, improve ranking, and develop related products.

14. Confidentiality

If you provide non-public project context, repository information, or workspace information, we will treat it as confidential and use it to provide, secure, support, and improve ShipFoundry as described in these Terms and our Privacy Policy.

You agree not to disclose non-public information about ShipFoundry, including private beta features, unreleased product details, security information, pricing arrangements, or technical implementation details, unless we authorize it or the information becomes public through no fault of yours.

15. Privacy

Our Privacy Policy explains how we collect, use, share, and protect information.

By using ShipFoundry, you acknowledge our Privacy Policy.

16. Third-Party Services and Public Sources

ShipFoundry relies on third-party services, public sources, APIs, feeds, changelogs, documentation, AI providers, infrastructure providers, payment processors, and integrations.

We do not control third-party services or public sources. They may change, become unavailable, provide inaccurate information, impose rate limits, revoke access, or modify their terms.

ShipFoundry is not responsible for third-party content, services, or integrations.

17. Beta Features and Changes

ShipFoundry may offer beta, preview, experimental, or early-access features. These features may be incomplete, unstable, limited, or changed at any time.

We may add, change, suspend, or discontinue features, plans, limits, integrations, sources, or workflows. We will make reasonable efforts to avoid unnecessary disruption for paid users, but we do not guarantee that any specific feature or integration will remain available.

18. Availability and Support

We aim to provide a reliable service, but ShipFoundry may be unavailable, degraded, or interrupted due to maintenance, incidents, provider outages, deployment issues, security events, or factors outside our control.

Unless a separate written agreement says otherwise, ShipFoundry is provided without a service-level agreement.

Support is provided through the channels we make available, such as email or in-app support.

19. Suspension and Termination

You may stop using ShipFoundry at any time. You may cancel your subscription through the billing portal or other cancellation process we provide.

We may suspend or terminate your access if:

• you violate these Terms
• payment fails
• your usage creates security, legal, operational, or abuse risk
• we are required to do so by law
• your account is inactive for an extended period
• we discontinue the service or a material part of it

After termination, your right to use ShipFoundry ends. We may delete or retain account information and User Content as described in our Privacy Policy and as required or permitted by law.

Sections that by their nature should survive termination will survive, including intellectual property, confidentiality, payment obligations, disclaimers, limitation of liability, indemnification, and dispute terms.

20. Disclaimers

To the maximum extent permitted by law, ShipFoundry is provided "as is" and "as available."

We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and error-free operation.

We do not warrant that:

• ShipFoundry will be uninterrupted, secure, or error-free
• source updates will be complete, current, or accurate
• matches, rankings, or recommendations will be correct
• handoff briefs will be suitable for your product
• repo evidence will identify all relevant code paths
• AI output will be accurate, complete, safe, or compliant
• any coding agent will successfully implement a handoff
• the service will meet your requirements or business goals

You use ShipFoundry at your own risk.

21. Limitation of Liability

To the maximum extent permitted by law, ShipFoundry and its owners, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, loss of goodwill, security incidents, or cost of substitute services.

To the maximum extent permitted by law, our total liability for any claim related to ShipFoundry or these Terms will not exceed the greater of:

• the amount you paid to ShipFoundry in the 3 months before the event giving rise to the claim, or
• USD $100

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

22. Indemnification

If you use ShipFoundry on behalf of a business or organization, you agree to indemnify and hold harmless ShipFoundry and its owners, employees, contractors, affiliates, and service providers from claims, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from:

• your use of ShipFoundry
• your User Content
• your violation of these Terms
• your violation of law
• your violation of third-party rights
• your use of integrations
• your implementation or use of ShipFoundry-generated output

23. Governing Law

These Terms are governed by the laws of Texas, United States, without regard to conflict of law rules.

Any dispute arising from or relating to these Terms or ShipFoundry will be brought in the courts located in Austin, Texas, United States, unless applicable law requires otherwise.

24. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by posting updated Terms, updating the "Last updated" date, or sending notice.

Your continued use of ShipFoundry after updated Terms become effective means you accept the updated Terms.

If you do not agree to the updated Terms, you must stop using ShipFoundry.

25. Miscellaneous

These Terms, together with the Privacy Policy and any applicable order form or checkout terms, are the entire agreement between you and ShipFoundry regarding the service.

If any part of these Terms is found unenforceable, the rest will remain in effect.

Our failure to enforce a provision is not a waiver of our right to enforce it later.

You may not assign these Terms without our written permission. We may assign these Terms as part of a merger, acquisition, reorganization, sale of assets, or by operation of law.

There are no third-party beneficiaries to these Terms unless expressly stated.
